Specro Terms of Service

Welcome to Specro ("Specro", "Platform", "Service", "we", "our", or "us").

These Terms of Service ("Terms") govern your access to and use of the Specro platform, including all software, tools, artificial intelligence features, generated content, websites, applications, services, and related functionality.

By creating an account, accessing the Platform, using a free trial, participating in a demonstration, purchasing a subscription, purchasing credits, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Purpose of the Platform

Specro is a software platform designed to assist construction professionals with project planning, project definition, specifications, trade scopes, selections management, procurement planning, project coordination, and related construction documentation.

Specro utilizes artificial intelligence, machine learning, automation, user-provided data, and builder-defined standards to generate information and recommendations.

Specro is intended as a project assistance tool only.

Specro does not provide engineering, architectural, legal, financial, permitting, code compliance, quantity surveying, estimating, construction management, project management, or professional consulting services.

2. User Acknowledgement of AI-Generated Content

The user understands and acknowledges that portions of the Platform utilize artificial intelligence and automated systems.

Artificial intelligence systems may generate inaccurate, incomplete, outdated, inconsistent, misleading, or incorrect information.

All content generated by the Platform, including but not limited to:

  • Specifications
  • Trade scopes
  • Procurement schedules
  • Selection schedules
  • Risk reports
  • Readiness scores
  • Quantity calculations
  • Product recommendations
  • Construction documentation
  • Checklists
  • Coordination plans
  • Any other generated outputs

must be independently reviewed, verified, and approved by qualified professionals before use.

The user acknowledges that artificial intelligence is an assistive technology and is not a substitute for professional judgment.

3. No Warranty of Accuracy

Specro makes no representation or warranty regarding:

  • Accuracy
  • Completeness
  • Suitability
  • Reliability
  • Code compliance
  • Permit compliance
  • Engineering compliance
  • Constructability
  • Quantity accuracy
  • Cost accuracy
  • Schedule accuracy
  • Procurement accuracy
  • Trade scope accuracy
  • Selection accuracy

Users are solely responsible for verifying all information before relying upon it.

4. User Responsibility

The user is solely responsible for:

  • Construction decisions
  • Design decisions
  • Procurement decisions
  • Scheduling decisions
  • Project management decisions
  • Contract administration
  • Building code compliance
  • Permit submissions
  • Trade coordination
  • Quality control
  • Safety compliance
  • All use of generated content

Under no circumstances shall Specro be considered responsible for project outcomes, construction performance, design performance, scheduling results, procurement results, or business decisions.

5. Limitation of Liability

To the fullest extent permitted by law, Specro, its founders, directors, employees, contractors, affiliates, licensors, suppliers, and service providers shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising from:

  • Use of the Platform
  • Reliance upon generated content
  • Errors or omissions in generated content
  • AI-generated recommendations
  • Construction defects
  • Cost overruns
  • Schedule delays
  • Procurement delays
  • Design errors
  • Coordination failures
  • Trade disputes
  • Contract disputes
  • Permit issues
  • Lost profits
  • Lost revenue
  • Business interruption
  • Loss of data

The user agrees that all use of the Platform is at their sole risk.

6. Maximum Liability

If Specro is found liable for any claim arising out of the use of the Platform, the total aggregate liability of Specro shall not exceed the greater of:

(a) One hundred Canadian dollars ($100 CAD); or

(b) The total amount paid by the user to Specro during the three (3) months immediately preceding the claim.

This limitation applies regardless of the cause of action.

7. User Content

Users retain ownership of all content uploaded to the Platform.

This includes:

  • Drawings
  • Plans
  • Specifications
  • Documents
  • Photos
  • Project data
  • Product data
  • Company standards

By uploading content, the user grants Specro a limited license to store, process, analyze, and utilize such content solely for the purpose of delivering and improving the Service.

The user represents and warrants that they possess all necessary rights and permissions to upload such content.

8. Confidentiality and Data

Specro will make commercially reasonable efforts to safeguard user information.

However, no online system can guarantee absolute security.

The user acknowledges that data may be processed by third-party cloud providers, artificial intelligence providers, hosting providers, analytics providers, and software partners necessary for operation of the Platform.

9. Subscription Plans and Credits

Certain features may require subscriptions, credits, or usage-based billing.

Credits:

  • Have no cash value.
  • Are non-transferable.
  • Are non-refundable except where required by law.
  • May expire if specified by Specro.

Specro reserves the right to modify pricing, subscription plans, and credit requirements at any time.

10. Acceptable Use

Users shall not:

  • Reverse engineer the Platform.
  • Copy or reproduce proprietary software.
  • Attempt unauthorized access.
  • Upload malicious software.
  • Use the Platform unlawfully.
  • Misrepresent AI-generated content as certified professional advice.

Violation of this section may result in suspension or termination of access.

11. Intellectual Property

The Platform, software, workflows, designs, trademarks, logos, branding, databases, content structures, and proprietary methodologies remain the exclusive property of Specro.

No ownership rights are transferred through use of the Service.

12. Beta Features

Certain features may be identified as beta, experimental, pilot, preview, or testing features.

Such features may contain bugs, errors, inaccuracies, interruptions, or incomplete functionality.

Users acknowledge and accept all risks associated with beta features.

13. Indemnification

The user agrees to defend, indemnify, and hold harmless Specro from any claims, losses, liabilities, damages, costs, expenses, legal fees, or demands arising from:

  • Use of the Platform
  • Reliance on generated content
  • Uploaded content
  • Project decisions
  • Construction activities
  • Contractual disputes
  • Regulatory issues

14. Termination

Specro reserves the right to suspend or terminate access to the Platform at any time and for any reason.

Users may discontinue use of the Platform at any time.

Upon termination, access to Platform functionality may be revoked.

15. Changes to Terms

Specro may update these Terms at any time.

Continued use of the Platform following updates constitutes acceptance of the revised Terms.

16. Governing Law

These Terms shall be governed by and interpreted under the laws of the Province of Ontario and the laws of Canada applicable therein.

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

Acceptance

By creating an account, accessing the Platform, using any free trial, participating in a product demonstration, purchasing a subscription, or using any portion of the Service, the user acknowledges that they have read, understood, and agree to be bound by these Terms of Service.
